as ZCS 8 is out what is the best way to upgrade to zcs8 and ubuntu 12/04?
a) do-release-upgrade first and then upgrade to zcs8 or
b) upgrade to zcs8 and then do-release-upgrade

Since the Zimbra installer package relies on system components such as dpkg to be at specific versions, you'll have to upgrade Ubuntu first, then install the new version of Zimbra.
As always, making a backup prior to any major changes such as this is a very good idea.

But some nasty warnings. I would suggest the following procedure:
1) ./install.sh -u (but make sure not to delete all files!!!)
2) do-release-upgrade
3) ./install.sh
