Hi Chenthil,
I would install 4.5.10 on the CentOS5 server and then upgrade to ZM5. As always though remember to take backups as you proceed through the upgrade.
Even though not in a Production (true meaning of the word) environment I have found 5.0.2 to be fantastic and a great improvement over 4.5.10.

I am looking to do an in-place operating system upgrade. I am currently running 4.5.10 on CentOS 4 and would like to upgrade to CentOS 5 then upgrade the install Zimbra 5.04
Any help is appreciated.

As always before starting any sort of upgrade ensure you have good BACKUPS!
Once the upgrade of CentOS has been completed ensure that Zimbra is still working okay and then proceed with the upgrade to 5.0.4.
