Welcome to the forums.
The upgrade is very simple:
Stop Zimbra
Backup the /opt/zimbra directories with your favourite back tool
Unpack the new version
cd to the directory you've unpacked it to
run ./install.sh
That's it. I'd suggest you upgrade to 4.x (check it works) then again up to the current release 4.5.4
